A parent company, not a middleman

Your money, in businesses you can actually see.

Your money, in businesses you can actually see.

Ugroww raises capital and puts it into companies we build and run ourselves. You are not buying a unit in something abstract. You can read what each business does, who runs it, and how it is doing — every quarter.

We operate what we fund Reported the same way every quarter A person answers the phone

Investing carries risk, including the loss of the amount you put in. Nothing here is a promise of a return. Please read the honest part before you decide anything.

Who invests with us

Different reasons.
The same question.

Everyone who calls us is really asking one thing: can I trust you with money I worked for? Here is how we answer it, depending on where you are standing.

Retired · 58–75

You spent forty years being careful. We are not going to be careless now.

“I do not need to get rich. I need to not lose what I have, and I would like it to do something.”

That is the most common sentence we hear, and it is the right instinct. Retirement capital is not patient in the way a thirty-year-old's is — you may need some of it back, and you cannot wait out a bad decade. So we say plainly which part of your savings this is suited to, and which part should not come anywhere near us.

  • We will ask what you already hold before we discuss anything. If you do not have a cash cushion outside this, we will tell you to build that first.
  • Your family can sit in on every call. Most do, and we prefer it.
  • No pressure to decide on the call. Take the papers to your CA or your children.

Living abroad · NRI

You want a foothold at home without a phone call at 3am.

“I want to put something into India. I just do not want to be managing it from eight thousand kilometres away.”

Property and family businesses are the usual route, and both come with the same cost: someone has to be there. Our ventures are operated by our own team on the ground, so your involvement ends at reading the report. We will be straight with you about the paperwork — repatriation, tax residency and account type all need sorting before anything moves.

  • Calls scheduled in your timezone, not ours.
  • Documents signed and stored digitally — no courier runs to India.
  • We will tell you where our knowledge stops and your tax adviser's begins.

Looking for a second income

A salary covers the month. You are thinking about the decade.

“My job is fine. But it is one income, and it is the only one.”

We should be honest with you first: this is not an income product. Operating businesses do not pay out monthly, and anyone who tells you otherwise is selling something. What we can offer is a stake in companies that are being built to be worth more later, with the reporting to see whether that is actually happening.

  • Start small. We would rather you put in an amount you can forget about for years.
  • Add to it when you choose — no commitment to a monthly figure.
  • If you need the money inside three years, this is the wrong place for it.

Business owner

You already know what running one of these costs.

“I understand the business. I just do not have the hours to start another one.”

You are the investor who reads our numbers properly, and that suits us. You know what a sales cycle looks like, what churn means, and why a good quarter does not prove anything yet. We will send you the operating detail rather than a summary, and you are welcome to pick it apart.

  • Unit economics, cohort retention and burn — not just a headline figure.
  • Direct access to the operator running each venture, not an IR intermediary.
  • If your own business could use what we have built, say so — several do.

First time

Nobody is born knowing this. Ask the basic questions.

“I do not want to look stupid asking what any of this means.”

You will not. The people who ask the plainest questions tend to make the best decisions, because they refuse to put money into something they cannot explain back to you. If at the end of our conversation you cannot describe what we do in your own words, we have failed and you should not invest.

  • No jargon. If we use a term, we will define it on the spot.
  • A call that ends with “not yet, go and read more” is a good outcome for us.
  • We will never ask you to decide before you have the documents in writing.

How it works

Four steps, and you can check each one.

No stage happens quietly. Each has a decision, a document, and somebody whose name is on it.

1

You talk to us

A call, not a pitch. We ask what you already hold and what you need this money to do. Some conversations end here, and that is fine.

2

You read before you sign

You get the terms, the risks and the venture detail in writing. Take them to your own adviser. We will wait.

3

Capital goes to work

Your money is allocated against a published split into businesses we operate — not lent on, not pooled into something you cannot see.

4

You hear from us on schedule

The same report, on the same dates, whether the quarter was strong or poor. The bad ones get more explanation, not less.

Where the money goes

Nothing
disappears.

Capital raised into the parent is allocated against a published split, and the split is restated in every report you receive. If it changes, you are told why.

The percentages shown are placeholders. Set them to your actual mandate before publishing.

Our ventures

Two businesses you can look up.

Both are software sold to Indian businesses. Both were built inside the group. You can call either one and a real person will answer.

AI telecalling & voice

Answers a business's phone when nobody can get to it, and calls its leads back before they go cold. It speaks eleven Indian languages, books appointments into a real calendar and hands over to a human when the question needs one.

Why trust us

Trust is a record,
not a promise.

We cannot prove we are trustworthy in a paragraph. What we can do is make ourselves easy to check.

Separate books

Each venture is its own company, audited on its own. Money moves between them by recorded decision, never quietly.

The same report, always

Same format, same dates, good quarter or bad. A report that changes shape when results are poor is a warning sign anywhere.

Conflicts written down

Anything we do with our own ventures is disclosed in the same pack, every quarter, including the things that look awkward.

Audited by outsiders

Annual statutory audit at the parent and each venture by [auditor name], filed on time, every year.

We have deliberately not put testimonials, awards or performance figures on this page. When there are real ones, they will appear here with the dates and sources attached.

The honest part

What could go wrong

Every investment page should have this section. Most bury it. Read this one before the rest.

You can lose money

Including all of it. Early-stage operating businesses fail at a high rate, and ours are not exempt from that.

Your money is not liquid

This is not a savings account or a mutual fund. You may not be able to get it back when you want it.

There is no income

Operating businesses reinvest. Do not plan monthly expenses around anything you put here.

We are concentrated

Two businesses, one country, one broad sector. That is the opposite of a diversified portfolio, by design.

We run what we fund

That alignment is the point, but it also means the people reporting the results are the people producing them. Our audit and disclosures exist for that reason.

Past results prove nothing

Whatever any venture has done so far says very little about what it will do next.

Important — placeholder disclosure

[This block must be written by your legal adviser before this site is published. It should name the issuing entity and its registration, state that nothing on this page is an offer or a solicitation to invest, set out the risks including the loss of capital, state that past performance does not indicate future results, and say who the material is intended for. Nothing here has been reviewed by any regulator, and no figure on this page is a forecast or a guarantee.]

Questions

The ones people actually ask

Is my capital guaranteed?
No. There is no guarantee of any kind, from us or anyone else. You may get back less than you put in, and you may get back nothing. Anyone in this industry who tells you otherwise is either mistaken or misleading you.
How is this different from a mutual fund?
A fund buys small pieces of many listed companies, is regulated as a fund, and you can usually sell on any working day. We own and operate a small number of private businesses outright. That means far less liquidity and far more concentration — but also that we are in the room where the decisions get made.
When can I take my money out?
[Set out your actual terms here: notice period, lock-in, and what happens if an investor needs to exit early.] Do not invest money you may need in the next few years.
What do I actually receive?
[Describe the instrument and the rights it carries.] Plus a quarterly report covering the capital position, how each venture performed, what moved, and what did not.
Can I visit the businesses?
Yes. Investors are welcome to meet the teams and see the operations. We would rather you did.
I am not in India. Can I invest?
Possibly, depending on where you are resident and the rules that apply there. Your account type, tax residency and repatriation all have to be settled first. We will tell you honestly where our knowledge ends and your own adviser's has to begin.
What is the minimum?
[Your minimum here.] We would rather take a smaller amount from someone who understands it than a larger one from someone who does not.
